Election to the Board of directors

The annual election to the Board of directors of the Order will be held in May 2017, in accordance with the Professional Code and the Règlement sur les élections et l’organisation de l'Ordre des comptables professionnels agréés du Québec, in order to fill the following positions:

  • the position of elected director from the Saguenay–Lac-Saint-Jean/Eastern Quebec region (Electoral region No. 1)
  • the position of elected director from the Mauricie – Central Quebec/Estrie/Lanaudière region (Electoral region No. 3)
  • the position of elected director from the Montreal region (Electoral region No. 4)1
  • the position of elected director from the Montérégie region (Electoral region No. 5)

Twelve (12) directors are elected for a three-year term from among members of the Order practicing in Quebec in the electoral regions where elections are being held. As the returning officer, the secretary of the Order ensures the efficient conduct of the elections. The secretary also monitors compliance with the Code of conduct respecting elections to the Board of directors, which provides a framework for the election administration, the conduct of candidates for election and aspects related to the content of the election campaign.

If the number of nominations received by the deadline, by electoral region, exceeds the number of vacant seats, the members from this region entered on the roll of the Order on April 2, 2017, will be mailed a ballot paper along with the candidates’ resumé and photograph.

At the end of the nomination period, the Order will publish on this page messages that candidates may wish to address to the voting members of their electoral region, after ensuring that they fully comply with the Code of conduct.

Directors’ role and responsibilities

The Board of directors sees to the general administration of the affairs of the Order and the application of the Professional Code, the Chartered Professional Accountants Act and the regulations made thereunder.

Given the importance of their responsibilities, the individuals called on to serve as directors must exercise prudence and diligence, in accordance with the principle of “fiduciary duty”. This principle requires directors to act with loyalty and integrity and in good faith. Because they must maintain solidarity in support of the board, directors are accountable for the board’s decisions, and these decisions may expose them to liability. Therefore, it is crucial that they be well-prepared for each meeting and stay current.

The Board of directors holds at least six meetings per year, not counting the extraordinary meetings which are generally held by conference call. Based on a schedule established by the Order, directors receive directors’ fees, and their travel expenses are reimbursed. They are also subject to a code of ethics.

Eligibility criteria

To be eligible to stand for election to the board, you must meet the following requirements:

  • be entered on the roll of the Order on April 2, 2017;
  • not be subject to a limitation or suspension of your right to engage in professional activities since at least 45 days before the polls close on May 17, 2017 at 4:00 p.m.;
  • be domiciled in Quebec;
  • principally practice the profession in the electoral region where you submitted your nomination.

Nomination files and messages of candidates for election

In two of the three regions where elections are being held in 2016, the number of nominations received by the deadline exceeds the number of vacant seats. Consequently, a ballot paper along with the candidates’ resumé and photograph were mailed to the members from electoral regions 2 and 4 entered on the roll of the Order on April 3, 2016. Only members of electoral regions where elections are being held can vote. Members who wish to replace a damaged, spoiled or lost ballot paper, or claim a ballot paper that has not been received, must submit their request to the Order using the new ballot paper request form (in French only).

In Electoral region No. 1, since Josée Néron was the only member to submit a nomination, Ms. Néron was elected by acclamation.

Note: Election candidates are solely responsible for the content of their nomination file and message to voters. In addition, they are free to publish them in either or both official languages.
